Rao Studios, LLC
Terms of Use
Effective · Last updated
The short version
- One Rao account signs into Ambient, Craft, Veil and the Craft Agents store. Keep it to yourself.
- Agents in the store are published by their creators, not by Rao. Craft builds each one from GitHub at the commit its creator pinned. Look before you install.
- An agent is free, paid per call in Credits, bought once for life, or either. Bought for life, it stays in your library and its calls are free.
- Credits are prepaid: 1 Cr is one cent. They don’t expire, unspent ones are refunded on request, and auto-reload charges your card only if you turn it on.
- Creators keep 90% of every paid call and sale. Payouts to a bank are coming soon; until then, Rao holds what creators earn. Selling needs Rao Plus; listing free never does.
- Rao Plus is a subscription, monthly or yearly, with one free trial per account. It renews to the card on file until you cancel from Manage billing.
- Follow a creator for free, or subscribe to one by the month. A creator may make paid agents free to its followers or subscribers: they stay free only while you follow or subscribe.
- Stripe keeps your card; Rao never sees the number. Saving a card is your consent to the charges you start here, to Plus renewals, and to auto-reload when it is on.
- Refunds for agents: write to us within [14] days. Plus is not refunded for the unused part of a period unless the law where you live says so.
- New York law. No arbitration clause and no class-action waiver.
These are the terms for the Rao account and what it signs into: Ambient, Craft, Veil, and Craft Agents, the store at craft.rao.nyc/store. All are made by Rao Studios, LLC, New York, USA (“Rao”, “we”). By creating an account, taking or buying an agent, buying Credits, selling an agent, or joining Rao Plus, you agree to them.
Where one of the apps is distributed through Apple’s App Store, Apple’s standard licence terms also apply to that app, and prevail where the two genuinely conflict. What we keep about you, and where, is in the Privacy Policy.
01One account
An account is an email address and a password, confirmed by a code we send. It is one account for every Rao app: the name and handle you choose in the store are the ones the apps show. One account per person. Keep the password to yourself and tell us at once if you think someone else has it; what is done with your account is yours to answer for.
You must be at least 13 to have an account, and old enough to make a purchase where you live, or have a parent’s or guardian’s permission. A handle is a public name: choose one that is not someone else’s, and not misleading. We may reclaim a handle that impersonates a person or a project, and close an account that breaks these terms.
02The store, and who writes the agents
Craft Agents lists agents for Craft. Each one is a Swift package on GitHub, published to the store by its creator and pinned to a commit. Rao is not the author of the agents in the store, except those listed under Rao’s own handle, @rao.
When Craft installs an agent, it fetches that repository at that commit and builds it on your Mac, and the agent then runs there with the access Craft gives it. That is running code from the internet. Each listing shows the repository, the commit, the licence and the creator so you can look before you install. We check listings for form, not for safety, and we make no promise that a creator’s package does what it says, builds, or is harmless. Section 10 says what that means for liability.
03Taking and paying for an agent
Its listing says how an agent is sold. A free agent, or one paid per call, is added to your library when you choose Get. An agent paid per call costs the Credits its listing shows each time an app that runs it calls it: the app (Craft, today) asks the store before the call, and the Credits come off your balance then. A call whose agent fails before it answers is given back. An agent sold for life is bought once: the price is shown before you pay, in US dollars, with any tax the law adds shown at checkout, and confirming the payment is your order. Bought for life, its calls are free for your account. Each purchase is billed by its own invoice, which you can open from Purchases on your account.
Credits are a prepaid balance on your Rao account for agents paid per call, in any Rao app that runs them: 1 Cr is one US cent. You buy them by card, from $5 to $500 at a time, each top-up with its own invoice and receipt. They are not money: they earn no interest, can’t be transferred to another account or exchanged for cash except as a refund, and don’t expire. Unspent Credits are refunded to the card on request: write to ritesh@rao.nyc. If a top-up is refunded or disputed after its Credits were spent, your balance can go below zero, and paid calls wait until it is above zero again. Auto-reload, when you turn it on, buys the amount you chose with your default card whenever your balance falls under the line you set; turn it off any time under Credits. Credits bought in test mode are test Credits, and buy nothing.
A creator may make a paid agent free to its followers (subscribers count as followers) or free to its subscribers. While you follow or subscribe, as the listing says, you may take it without paying and its calls cost no Credits. That is not a purchase: when you unfollow, or the subscription ends, an agent sold for life leaves your library and an agent paid per call is charged again; follow or subscribe again and it is free again. If the creator changes who gets it free, the change applies from then. To keep an agent for good, buy it for life.
A listing its creator archives stays in the libraries that already hold it. A listing may also be removed from the store, by its creator or by us (section 08); a copy already installed keeps working until you remove it from Craft.
04Refunds for agents
If an agent you bought for life doesn’t build, doesn’t do what its listing says, or you simply regret it, write to ritesh@rao.nyc within [14] days of the purchase and name it. A refund goes back to the card through Stripe, and the agent leaves your library (one also paid per call stays, and its calls are charged again). A paid call whose agent failed is given back by Craft on its own; for any other call, write to us and we’ll put the Credits back where it’s fair. We may decline repeated refunds of the same listing, or a refund after the window, except where the law where you live gives you more. Free agents have nothing to refund.
05Rao Plus, and subscribing to creators
Rao Plus is a subscription on your account, read by every Rao app that offers more with it; Ambient calls the same plan Ambient Plus. It is sold monthly or yearly, at the prices shown before you subscribe.
One free trial of seven days is offered to each account, once. A card is asked for at the start and nothing is charged until the trial ends; cancel before then and it never is. After the trial, and at the end of each period, Plus renews automatically and charges the card on file, until you cancel.
Cancel any time from Manage billing on your account page or in Ambient. Plus then runs to the end of the period already paid for, and stops. If a renewal fails, Plus continues for seven days while Stripe retries and you update the card; after that it pauses until the card is updated. We don’t refund the unused part of a period, except where the law where you live requires it. If a price changes, we will tell you by email at least 30 days before it applies to you, and you can cancel before then.
You may also subscribe to a creator in the store, at the monthly price its storefront shows before you subscribe, in US dollars, with any tax the law adds shown at checkout. Rao sells the subscription and bills it through Stripe; the creator receives its share (section 08). It renews each month and charges your default card until you cancel from Subscriptions on your account page; it then runs to the end of the month already paid for, and stops. A subscription keeps the price you subscribed at; a creator’s new price applies to new subscribers. If a renewal fails, it continues for seven days while Stripe retries; after that it pauses until the card is updated. A creator may stop offering subscriptions: yours then ends at the end of the month already paid for. A disputed payment ends the subscription. We don’t refund the unused part of a month, except where the law where you live requires it, or where we refund a payment made twice. What a subscription gives you is what the creator offers with it, such as agents free to subscribers (section 03); creators, not Rao, decide what that is, and may change it.
06Cards on file
Cards are collected and kept by Stripe, our payment processor; Rao never receives or stores a card number, and sees only what Stripe shows you back: the brand, the last four digits and the expiry. Saving a card is your consent for it to be charged, without your being present, for the renewals of a subscription you hold, for purchases and top-ups you start while signed in, and, while you have it on, for auto-reload. You can add cards, choose the default and remove them under Payment methods; the card that pays a live subscription can’t be removed until another is made the default. Stripe’s own terms and privacy policy apply to how it handles the card.
07Your licence to an agent
For each agent in your library, Rao and its creator grant you a personal, non-transferable licence to install and use it in Craft on the devices you sign into with your account, for as long as the account holds it. The package’s own open-source licence, named on its listing, may grant you more, and where it does it governs the code. You may not resell or share your account to give others access, or get round the store’s checks on who holds what.
08Creators
Anyone with a Rao account may choose a handle and list agents. By listing, you promise that you have the right to publish the package and to grant the licence in section 07; that the listing is accurate; and that the package carries no malware, takes no data its listing doesn’t name, and does nothing its listing hides. You grant Rao a non-exclusive, worldwide licence to show the listing’s text, icon and name in the store and in Craft, and to let Craft fetch the package for the people who hold it.
You set the prices: free, per call (1 Cr to 10,000 Cr), for life ($0.99 to $999.99), or both. Pricing an agent needs Rao Plus (or our written leave); listing one free never does. If your Plus ends, a paid listing keeps selling at its prices, but you can’t change it or move its package until you rejoin; you can still unpublish or archive it.
With the same standing, you may offer a subscription to your storefront, from $5 to $100 a month, and make any paid agent free to your followers or to your subscribers (section 03). You may close your subscription to new subscribers at any time; each subscription then ends with the month already paid for. If your Plus ends, your subscription keeps renewing at its price, but you can’t change the price, reopen it once closed, or change who gets an agent free, until you rejoin. You see how many follow and subscribe to you, never who.
You earn 90% of each paid call, of each lifetime sale and of each month a subscriber pays (its price, before tax); Rao keeps 10% and pays the card fees. Calls you make to your own agent are free and earn nothing. Earnings clear seven days after they are made; a refund, or a call given back, within that time takes its share back out, and one after it comes off what has cleared. Payouts aren’t available yet. Until they are, what you earn is recorded to your account and Rao holds it for you; it can’t be withdrawn yet. Once payouts open, you can cash out what has cleared, from $25, to a bank through a Stripe account you set up on the Payouts page: Stripe verifies who you are and the bank, under Stripe’s own terms for the accounts it pays out to, and may ask for tax information. A cash-out is one transfer to that account, which Stripe pays into your bank on its own schedule. You are responsible for the tax on what you earn. We may hold or take back earnings that come from fraud, from a payment that is reversed, or from a breach of these terms, and tell you why.
We may take down a listing that breaks these terms, is reported and found unsafe, or misleads, with notice to you where we can; its copies stay in the libraries that hold them. A listing nobody holds you may delete; one that someone holds can only be archived. You are responsible for your package and for honouring the licence you chose for it.
09Fair use
Please don’t: automate or scrape the store beyond its public catalog feed; try to get round a price, a licence check or the sign-in; impersonate a person or a project; publish anything hateful, unlawful or deceptive; or attack the service or the people who use it. The store has no messages and no comments: what anyone sees is a listing and a profile.
10No warranty, and the limit of our liability
The account, the store, Rao Plus and the apps are provided as is and as available, without warranties of any kind, to the fullest extent the law allows. Third-party agents are the work of their creators and we make no warranty about them.
To the extent the law allows, Rao Studios, LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost data or lost work, and our total liability for anything arising from these terms is limited to the greater of what you paid us in the twelve months before the claim, or US$50. This limit doesn’t apply to liability the law doesn’t let us limit, including for death or personal injury caused by negligence, or for fraud. Nothing here takes away consumer rights that can’t be excluded where you live.
11Indemnity
If you deliberately or carelessly break section 08 or 09, for example by publishing a package you had no right to, or one that harms the people who installed it, and someone brings a claim against us because of it, you agree to cover that claim and our reasonable legal costs, to the extent your conduct caused it. Where the law where you live says a consumer can’t be asked for an indemnity like this, this section doesn’t apply.
12What stays ours
The names Rao, Ambient, Craft, Veil and Craft Agents, the apps, the store and its design belong to Rao Studios, LLC. Granite, the framework agents are built on, is our open-source project under its own licence.
13Changes, and ending
The current terms live at craft.rao.nyc/store/terms with their date at the top. A material change will also be sent to the email on your account before it applies. A change never takes away an agent you already hold or a period of Plus you already paid for. You can close your account by writing to ritesh@rao.nyc from its address; Plus stops at the end of the paid period, and your library ends with the account. We may end this agreement if you break section 08 or 09. Sections 02, 04, 06, 07, 10, 11, 12 and 14 survive it.
14Governing law, and how to reach us
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and the state and federal courts in New York County have jurisdiction, except where the law of the country you live in lets you bring a claim at home. There is no arbitration clause and no class-action waiver.
